UBO Register – Update of Address

Further to our previous newsfeeds on this, with an announcement issued on 19 September 2025, the Cyprus Registrar of Companies (the “Registrar”) pointed out that many letters sent to the registered office address of companies and to the workplace address of partnerships are not received by the addressees.  The Registrar called on all companies and partnerships to check and update the information of their registered office address and workplace address in the Register of Business Entities, using the corresponding form applicable to each organization, so that this information is correct and up to date.

The remark is related to the obligation underway of entities to access the Register of Beneficial Owners of Corporate and Other Legal Entities (UBO Register) from 1 October to 31 December 2025 in order to confirm the details of their Beneficial Owner/s (BO/s) or Senior Management Officials (SMOs) or to apply due diligence (as applicable in each case).

It is reminded that, notwithstanding the criminal liability or prosecution of any person, in the event of failure to comply with the confirmation obligation within the set timeframe, the corporate or other legal entity and each of its officers shall be subject to a fine of €100 and a further fine of €50 for each day of continuation of the violation with a maximum charge of €5,000. Furthermore, the Registrar has the power to strike off from the Register of Business Entities any company or other legal entity, which refuses, omits, or neglects to fulfil its obligations to update the information on its beneficial owners.
